Sociedade Central de Cervejas e Bebidas
A Great Drinks Company: Beer, Cider, Waters and Soft Drinks with Nationwide Distribution.
Sociedade Central de Cervejas was set up in 1934 with the aim of selling beers produced by the former breweries, Companhia Produtora de Malte e Cerveja Portugália, Companhia de Cervejas Estrela, Companhia de Cervejas Coimbra and Companhia da Fábrica de Cerveja Jansen.
Centralcer – Central de Cervejas, E.P. is incorporated in 1977 following the merger of Sociedade Central de Cervejas, S.A.R.L. (incorporated in 1934) with Cergal - Cervejas de Portugal, S.A.R.L. (incorporated in 1972).
Centralcer – Central de Cervejas, S.A. was therefore created as a result of the above-mentioned company’s conversion into a joint stock company, regulated according to Decree-Law no. 300/90 of September, 24. The Company’s total share capital is privatized in 1990, and it is the first operation of this kind to be undertaken in Portugal. The Bavaria Group purchases a shareholding in Centralcer - Central de Cervejas, S.A., and becomes one of its main shareholders.
In 2000, there is a further alteration to the company’s shareholding structure following its sale to VTR-SGPS, S.A., a group of Portuguese investors (Parfil, BES, Fundação Byssaia Barreto, Olinveste and Fundação Oriente), amongst whom are the inheritors of SCC’s founding shareholders. In the summer of the same year, this group assigned a 49% shareholding to the international brewing group Scottish & Newcastle.
In terms of the Group’s organization restructuring, the merger of Centralcer – Central de Cervejas, S.A. in Centralcontrol S.G.P.S., S.A. (merging company) was concluded in December 2001. The new merged entity changed its corporate denomination to SCC - Sociedade Central de Cervejas, S.A., as well as its head office, which is now located at the factory premises.
In 2003, Scottish & Newcastle purchases Parfil’s total shareholding, assuming total control of Sociedade Central de Cervejas and Sociedade da Água de Luso.
In December 2004, the Company became known as SCC - Sociedade Central de Cervejas e Bebidas, S.A., a name that better reflects the scope of its activity, which not only includes beer, but also other drinks, such as water and soft drinks.
In 2007, Carlsberg and Heineken set up a consortium and made an offer to purchase Scottish & Newcastle Group. As a result of the negotiations and purchase of Scottish and Newcastle, Heineken took over the control of Sociedade Central de Cervejas e Bebidas (SCC) on April 29, 2008. This consortium was dissolved after the deal was completed and the traditional healthy relationship between both groups remained untouched.
In January 2010 the Heineken Group, to which Central de Cervejas e Bebidas also belongs, announced the acquisition of the Mexican company, FEMSA’s beer business. This transaction not only enables the Heineken Group to grow in the Mexican and Brazilian markets, but also reinforce its position in the North-American beer imports market, namely in the Hispanic segments.
Novadis was set up in 2013 and integrated in the Heineken Group following the acquisition of the largest drinks (Sodicel) distributor in the country’s central area.. Its aim was to become the largest beverage distributor nationwide, offering an extensive portfolio of consumers’ favorite brands at competitive prices and offering an outstanding service.
In August 2019, SCC acquired from a group of private investors led by Capital Criativo, 100% of the capital of Mineraqua Portugal, which owns the concession and the Água Castello brand, a century-old, historic and reputed brand of sparkling natural mineral water.
On November 1, 2020, Sociedade da Água de Luso, S.A. merged with Termas de Luso.
With the aim of generating improved organizational efficiency, on January 1, 2021 the various companies in the universe of SCC – Sociedade Central de Cervejas e Bebidas, S.A., with the exception of Novadis, merged into one company, Sociedade Central de Cervejas e Bebidas, SA, keeping the same corporate name, headquarters, and corporate tax paying number. The companies covered by this merger were SCC- Sociedade Central de Cervejas e Bebidas, Sociedade da Água de Luso (which includes Termas de Luso), Mineraqua and Hoppy House Brewing.
In the distribution and sale of beverages Novadis, 100% owned by SCC, operates across the vast domestic market offering a complete portfolio of brands. And this is SCC Group.
The group’s main activity is the production, filling, sale and distribution of beer, ciders, waters and soft drinks.
